Share Repurchase Program

鈥�

On October 26, 2021, our Board of Directors approved听a share repurchase program of $1 billion. On March 25, 2022, our Board of Directors increased the authorization of our share repurchase program from $1 billion to $2 billion. The share repurchase program is supported by our free cash flow generation. Repurchases may be made in the open market, including through accelerated share repurchase programs, or in privately negotiated transactions, and repurchases may be commenced or suspended from time to time without prior notice. Shares of common stock acquired through the repurchase program are held in treasury at cost.听During the nine months ended September 30, 2024, we did not repurchase any shares of our common stock under this program.听As of听 September 30, 2024, we have approximately $547 million remaining under the authorization of our existing share repurchase program.听

Dividends on Common Stock

During the three months ended September 30, 2024 and 2023, we declared dividends of $44听million and $42 million, respectively, or $0.25 and $0.2375 per share, respectively,听to common stockholders. During the three months ended June 30, 2024 and 2023, we declared dividends of $43听million and $42 million, respectively, or $0.25 and $0.2375 per share, respectively, to common stockholders. During the three months ended March 31, 2024 and 2023, we declared dividends of $43听million and $44 million, respectively, or $0.25 and 0.2375听per share, respectively, to common stockholders.
